These Terms of Service govern the use of Agra Trade B.V.’s website and our business activities in sourcing and exporting premium fresh produce from Egypt to international buyers.

1. Introduction
These Terms of Service (“Terms”) govern your use of the website, services, and commercial activities of Agra Trade B.V. (“Agra Trade”, “we”, “us”, or “our”). By accessing our website, submitting an inquiry, or engaging in business with Agra Trade, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Agra Trade B.V. specialises in sourcing, packing, and exporting premium-quality Egyptian fresh fruits, vegetables, citrus, berries, and olive oil to international buyers, retailers, and distributors.
2. Business Nature
Agra Trade operates strictly as a business-to-business (B2B) import–export entity. All transactions are conducted with registered companies, importers, wholesalers, distributors, and retail chains.
We do not sell directly to end consumers, and our website content is intended for professional and commercial audiences only.
3. Product Specifications & Quality Standards
Agra Trade works with certified growers and packhouses to ensure that all supplied products comply with:
- Applicable EU quality and food safety standards;
- GLOBALG.A.P., GRASP, and SPRING certifications, where applicable;
- Specifications agreed in written contracts, including varieties, sizes, grades, packaging, palletisation, and loading plans.
Product descriptions, photos, and specifications displayed on the website are for general information only. The legally binding specifications are those confirmed in the official Proforma Invoice (PFI), contract, or purchase agreement.
4. Orders & Contract Formation
An order becomes binding only when all of the following conditions are met:
- Agra Trade B.V. issues an official Proforma Invoice (PFI) or written contract; and
- The buyer confirms and approves the PFI/contract in writing; and
- The buyer fulfils the agreed payment terms (e.g., deposit, Letter of Credit, CAD arrangement).
Website inquiries, verbal discussions, or email exchanges do not constitute a legally binding contract unless formalised through a PFI or written agreement.
5. Pricing & Payment Terms
All prices are subject to change depending on:
- Current market conditions and global demand;
- Seasonal availability and harvest conditions;
- Logistics, freight rates, and port/terminal charges;
- Currency exchange rate fluctuations.
Accepted payment terms may include, but are not limited to:
- Bank Transfer (Telegraphic Transfer / TT);
- Letter of Credit (LC) with agreed conditions;
- Cash Against Documents (CAD);
- Other methods explicitly agreed in writing between Agra Trade and the buyer.
All payments must be made exclusively to the official corporate bank accounts of Agra Trade B.V. as stated on the Proforma Invoice or contract. Agra Trade is not responsible for payments sent to incorrect or unauthorised accounts.
6. Shipping, Delivery & Incoterms
All shipments are handled according to the agreed Incoterm (Incoterms® 2020), such as EXW, FOB, CFR, CIF, DAP, or others specified in the contract or PFI. Responsibilities for risk, costs, and documentation follow the respective Incoterm definition.
Agra Trade cooperates with certified packhouses, logistics providers, and shipping lines to ensure proper handling, loading, and transportation up to the agreed delivery point.
Delays or disruptions caused by shipping lines, port congestion, customs inspections, strikes, weather conditions, or other third-party or force majeure events are outside our reasonable control and do not constitute a breach of contract by Agra Trade.
7. Documentation Provided by Agra Trade
Depending on the product, destination, and agreed Incoterm, Agra Trade may provide some or all of the following documents:
- Commercial Invoice
- Packing List
- Certificate of Origin
- Phytosanitary Certificate
- GLOBALG.A.P. and related certification references
- Laboratory test reports, where required
- Bill of Lading (B/L) or Air Waybill (AWB)
- Insurance Certificate (for CIF or as agreed)
The buyer is responsible for informing Agra Trade in advance of any additional documentation or specific importing requirements needed for their country or customer. Any extra documentation, compliance procedures, or certifications may incur additional costs.
8. Claims & Quality Issues
Given the perishable nature of fresh produce, any quality or quantity claims must be reported promptly. For fresh fruits, vegetables, citrus, and berries:
- Claims must be submitted within 24 hours of receipt of the goods at the agreed delivery point; and
- Claims must be supported by clear photos and/or videos showing the issue; and
- Where applicable, an accredited third-party inspection report may be required to validate the claim.
Agra Trade reserves the right to request samples, further evidence, or an independent inspection before deciding on any compensation or credit.
Agra Trade’s liability in such cases is strictly limited to the value of the goods under dispute, as shown on the Commercial Invoice. We are not liable for consequential, indirect, or special damages, including loss of profit, loss of business, or customer penalties.
9. Cancellation & Amendments
Once a Proforma Invoice is confirmed and any of the following has occurred:
- Production and packing have started;
- Goods have been allocated or reserved for the buyer;
- Goods have been loaded or shipped;
the order cannot be cancelled unilaterally by the buyer.
Any modification, postponement, or amendment must be mutually agreed in writing. Additional costs arising from changes requested by the buyer may be charged accordingly.
10. Compliance & Ethical Standards
Agra Trade B.V. is committed to:
- Compliance with relevant EU food safety and quality regulations;
- Ethical sourcing and responsible supply chain management;
- Worker welfare and social compliance in line with GRASP and similar standards;
- Environmental sustainability, including water and resource management under SPRING and related programmes, where applicable.
Buyers are responsible for ensuring compliance with all import regulations, food safety laws, and market requirements in their own countries or regions.
11. Intellectual Property
All content available on the Agra Trade website, including but not limited to text, images, logos, graphics, icons, and documents, is the exclusive property of Agra Trade B.V. or its content providers, and is protected by applicable intellectual property laws.
No part of the website content may be reproduced, distributed, modified, or used for commercial purposes without prior written consent from Agra Trade B.V.
12. Limitation of Liability
To the maximum extent permitted by law, Agra Trade B.V. and its directors, employees, and agents shall not be liable for:
- Delays or disruptions caused by shipping lines, port authorities, customs, or other third parties;
- Loss or damage resulting from improper handling, storage, or transport of the goods after delivery under the agreed Incoterm;
- Non-compliance by the buyer with local import regulations, labelling rules, or other legal requirements;
- Any indirect, incidental, or consequential damages, including lost profits or loss of business opportunities.
In all cases, Agra Trade’s total aggregate liability shall not exceed the invoiced value of the specific shipment or goods giving rise to the claim.
13. Privacy & Data Protection
When you submit information via our website or communicate with us by email, we process your data for the purposes of:
- Responding to inquiries and providing commercial offers;
- Managing ongoing or potential business relationships;
- Fulfilling contractual and legal obligations.
Agra Trade B.V. seeks to comply with applicable data protection laws, including the General Data Protection Regulation (GDPR) for EU-based data subjects. We do not sell your data to third parties. Data may be shared with logistics partners, banks, or service providers only where necessary to execute business operations or comply with legal requirements.

14. Governing Law & Jurisdiction
These Terms, and any disputes arising out of or related to them, shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict-of-law principles.
Any dispute, controversy, or claim between Agra Trade and the buyer shall be subject to the exclusive jurisdiction of the competent courts of Rotterdam, The Netherlands, unless otherwise agreed in a written contract.
15. Amendments to the Terms
Agra Trade B.V. reserves the right to update, modify, or replace these Terms at any time. When changes are made, the updated Terms will be published on our website with a revised effective date.
Continued use of the website or continuation of business with Agra Trade after such changes signifies your acceptance of the updated Terms.
